‍1. General Provisions

‍1.1 These General Terms and Conditions (GTC) for the provision of services apply to contracts concluded between the client and Andrea Rühenbeck Coaching including these GTC.

‍1.2 If, in addition to these GTC, further contractual documents or other terms and conditions in text or written form become part of the contract, the provisions of such additional contract documents shall take precedence over these GTC in the event of conflict.

‍1.3 Deviating terms and conditions used by the client shall not be recognized by Andrea Rühenbeck Coaching unless explicitly agreed otherwise.

2. Subject of the Contract and Scope of Services

‍2.1 Andrea Rühenbeck Coaching provides the following services as an independent contractor to the client: Individual coaching and consulting services for private individuals in the field of quality of life and promotion of physical, mental, and emotional well-being. Services are provided online.

‍2.2 Andrea Rühenbeck Coaching undertakes to disclose the methods and techniques used in the coaching to the client. The contractor informs the client transparently at all times about possible effects, opportunities, and known risks of the applied methods.

‍2.3 The success of the coaching depends largely on the client's cooperation. A guarantee of success for coaching or consulting cannot be provided. It is the responsibility of the client to apply the provided data and information. No guarantee is given for their completeness or accuracy.

‍2.4 The discussed content does not replace medical treatment or therapy and shall not be regarded as medical advice. It is expressly stated that energetic work does not replace medical treatment. No diagnoses are made, no medication is prescribed, and no medical symptoms are treated. The service supports activation of self-healing abilities and general well-being. If diagnoses or complaints exist, the client is obliged to seek medical care. The consultation is also not a substitute for psychotherapy or medical treatment. The client acknowledges full responsibility for their mental and physical health and agrees to bear any resulting damages themselves.

‍2.5 Coaching may trigger personal development which may include changes in relational behavior. Andrea Rühenbeck Coaching expressly points out that this may result in new dynamics in the client’s social environment, which may have both positive and challenging effects.

‍2.6 The specific scope of services is determined by individual agreements based on preliminary discussions and is defined in detail in the offer and/or contract.

‍2.7 Andrea Rühenbeck Coaching performs the contracted services with the greatest possible care and diligence according to the latest insights.

‍2.8 Andrea Rühenbeck Coaching is obligated to provide the contracted services. Service delivery occurs in coordination and agreement with the client.

3. Client Obligations to Cooperate

It is the client's responsibility to provide all information, data, and content required for fulfillment of services fully and correctly. Andrea Rühenbeck Coaching is not liable for delays or inability to deliver services caused by late, incomplete, or missing cooperation from the client; the section “Liability/Indemnification” remains unaffected.

4. Payments, Prices, Terms

‍4.1 Compensation is agreed individually. Prices communicated by Andrea Rühenbeck Coaching are binding and understood as net amounts plus applicable VAT.

‍4.2 Payment is due upon conclusion of the contract unless otherwise stated in the offer.

‍4.3 If the client defaults on due payments, Andrea Rühenbeck Coaching reserves the right to suspend further services until full payment is received.

‍4.4 The client may, in some cases, pay in installments subject to mutual agreement. Installments are due on the contractually agreed dates.

‍4.5 If the client defaults on at least two installment payments, Andrea Rühenbeck Coaching may terminate the contract without notice and cease services. The contractor may claim damages equal to the full remaining amount due until the next regular termination date.

5. Appointment Scheduling and Cancellation

‍5.1 Time and place of the coaching/consultation will be agreed mutually via e-mail, WhatsApp, or telephone. Agreed appointments are binding. The client commits to attending all scheduled appointments on time.

‍5.2 Cancellation by the Contractor: If Andrea Rühenbeck Coaching must cancel or reschedule an appointment for urgent reasons, the client will be informed as soon as possible and offered a replacement appointment. No further claims, especially compensation claims, exist.

‍5.3 Cancellation by the Client: If the client must cancel or reschedule an appointment for urgent reasons, Andrea Rühenbeck Coaching must be informed as soon as possible and a replacement date will be arranged upon request.

‍5.4 If the client discontinues a booked session, no refund of already paid fees will be issued.

6. Liability / Indemnification

‍6.1 Andrea Rühenbeck Coaching is liable without limitation in cases of intent, gross negligence, or intentional or negligent injury to life, body, or health unless otherwise stated or required by mandatory law. If essential contractual duties are negligently breached, liability is limited to foreseeable, contract-typical damages, unless unlimited liability applies based on the previous sentence. The contractor must fulfill essential contractual obligations necessary to achieve the contract's purpose and which the client may regularly rely upon. All other liability is excluded.

‍6.2 The client indemnifies Andrea Rühenbeck Coaching against any third-party claims arising from the client's violations of these terms or applicable law.

7. Contract Duration and Termination

‍7.1 The scope and duration of services are agreed individually. Early termination after expiration of the withdrawal period is excluded.

‍7.2 The right of both parties to extraordinary termination for good cause remains unaffected.

‍7.3 After contract termination, Andrea Rühenbeck Coaching must destroy all provided documents and content immediately. Retention rights are excluded. Electronic data must be fully deleted, except where statutory retention periods apply. Upon request, the contractor must confirm deletion in writing.

8. Right of Withdrawal

‍8.1 The client has the right to withdraw from the contract within fourteen days without stating reasons. The withdrawal period begins on the date of contract conclusion.

8.2 To exercise the right of withdrawal, the client must notify Andrea Rühenbeck Coaching (Mandelbaumpfad 16, 50767 Cologne, info@andrea-ruehenbeck-coaching.de) via a clear declaration (e.g. letter by post or e-mail). A withdrawal template is attached to the end of this document.

9. Confidentiality and Data Protection

‍9.1 Andrea Rühenbeck Coaching will treat all information received in connection with the contract strictly confidentially. The confidentiality obligation applies indefinitely beyond the contract duration.

‍9.2 Andrea Rühenbeck Coaching will comply with all applicable data protection regulations, especially the GDPR and the Federal Data Protection Act.

10. Copyright

‍10.1 Offers, coaching and consulting concepts, personal CDs, MP3 files, and other documents are protected by copyright. All documents provided or made accessible to the client (videos, audios, PDFs, etc.) are intended solely for personal use.

‍10.2 The client may not reproduce or share documents or parts thereof with third parties. Publishing – even partially – is prohibited and may result in legal consequences.

11. Final Provisions

‍11.1 The law of the Federal Republic of Germany applies, excluding CISG.

‍11.2 If any provision of these GTC becomes invalid, the remainder remains unaffected.

‍11.3 The client shall support Andrea Rühenbeck Coaching with reasonable cooperation, particularly by providing necessary information and data.

‍11.4 If the client is a merchant, legal entity under public law, special public fund, or has no general jurisdiction in Germany, the parties agree that the contractor’s registered office shall be the court jurisdiction. Mandatory exclusive jurisdictions remain unaffected.

‍11.5 Andrea Rühenbeck Coaching may amend these GTC for justified reasons (e.g. legal changes, market developments) with reasonable notice. Existing clients will be notified at least two weeks before changes take effect. If the client does not object within the stated period, approval is deemed granted. If the client objects, the changes do not take effect, and the contractor may terminate the contract at the effective date of amendment. The notification will include the objection deadline and consequences.

12. Consumer Dispute Resolution / Universal Arbitration Board

The provider is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration body pursuant to the VSBG.
